A leading hospitality and development group in Bali is seeking a Group Legal and Corporate Governance Manager to join their team. What you'll do:
As Group Legal and Corporate Governance Manager you will be responsible for overseeing all aspects of legal operations across multiple entities within the organisation. Your day-to-day activities will involve managing a skilled legal team to ensure timely delivery of high-quality work while maintaining strong document control. You will take charge of contract management processes from drafting through negotiation to execution—ensuring that all agreements are properly documented and archived. Your expertise will be crucial in coordinating due diligence efforts for investors or partners as well as maintaining accurate records related to land titles and property transactions. You will also provide guidance on permits/licensing requirements specific to hospitality/tourism sectors in Indonesia. In addition to handling disputes/litigation files with meticulous attention to detail you’ll offer practical support on operational/legal matters affecting finance or HR functions. Success in this role requires excellent organisational skills combined with collaborative leadership qualities that foster teamwork among colleagues.
- Lead the maintenance of corporate legal records, statutory registers, corporate approvals, compliance files, and supporting legal evidence to ensure completeness and accessibility for management, audit, and due diligence purposes.
- Manage priorities within the Legal team by allocating work effectively, setting deadlines, controlling quality standards, tracking progress, following up on tasks, and escalating material risks or capacity constraints promptly.
- Oversee drafting, reviewing, negotiating, and amending commercial, development, and operational agreements while maintaining clear notes on legal risks, execution status updates, and archive control.
- Supervise execution of key agreements including development contracts, management leases, subleases; coordinate signing packs, authority checks, notary involvement, execution checklists, and final legal record keeping.
- Prepare and coordinate comprehensive legal due diligence responses including evidence packs, summaries of legal positions, document indexes for investors, lenders, clients, operators, partners and advisers.
- Maintain accurate legal records relating to land certificates (SHM/SHGB/HGB), master leases/subleases documentation from landowners/notaries; review gaps in evidence and ensure regulatory compliance.
- Provide oversight for permits and licensing processes such as OSS/NIB registrations, PBG applications, AMDAL requirements as well as relevant tourism/hospitality/F&B operator licences including renewals and regulatory notices.
- Coordinate external counsel instructions by preparing clear briefs; manage notarial work efficiently; track open issues/costs/deadlines/actions/final outputs with attention to detail.
- Maintain complete files for disputes including summonses/notices/land matters/investigations/litigation; document evidence chronologies/counsel-court status/recommended next steps thoroughly.
- Deliver practical legal support on operational matters including finance-linked issues/employment documentation/disciplinary cases/exits/consultancy arrangements/foreign worker KITAS matters/NDAs/confidentiality/data protection.
What you bring:
To excel as Group Legal and Corporate Governance Manager you should bring substantial experience gained from working within an in-house legal environment where you have demonstrated your ability to assess commercial risks practically. Your familiarity with Indonesian corporate/commercial regulations—especially those relating to property or hospitality—will enable you to navigate complex compliance requirements confidently. You should possess advanced skills in contract drafting/negotiation coupled with strong capabilities around corporate governance/legal record management. Managing multiple stakeholders/entities simultaneously is second nature for you thanks to your organisational prowess; moreover your interpersonal skills allow you to build trustful relationships both internally (with your team) & externally (with counsel/notaries). A recognised law degree forms the foundation of your expertise while additional professional qualifications further enhance your suitability for this position.
- Extensive experience (approximately 10-15 years) working in-house within a legal function demonstrating a practical approach to commercial risk assessment.
- Comprehensive knowledge of Indonesian corporate law/regulatory frameworks with exposure to property/real estate/development/hospitality sectors highly advantageous.
- Proven ability in contract drafting/negotiation/corporate governance/legal record-keeping/working alongside external counsel/notaries.
- Comfortable managing multiple entities/priorities/stakeholders while maintaining rigorous document control/follow-through on tasks.
- Ability to lead/develop/support a legal team while remaining hands-on when dealing with material matters requiring direct involvement.
- Excellent written/spoken Bahasa Indonesia & English skills enabling clear communication/stakeholder engagement across diverse groups.
- Bachelor’s degree in Law from a recognised university with relevant professional qualifications considered beneficial.
