A prestigious investment institution in Jakarta is seeking a Legal Analyst to join its Institutional Legal function, providing corporate legal advisory support across a diverse portfolio of subsidiaries and portfolio companies. In this role, you will work closely with investment teams, strategic operations, and other key stakeholders to provide legal guidance on corporate governance, corporate secretarial matters, investments, business transactions, and portfolio monitoring. The position offers excellent exposure to high-profile and strategic transactions, including capital injections, amendments to Articles of Association, changes to Boards of Directors and Commissioners, and other corporate actions. It provides an opportunity to develop strong in-house legal experience while gaining direct exposure to investment activities and working alongside key business and investment stakeholders.
What you'll do:
As a Legal Analyst, you will play a pivotal role in supporting the Institutional Legal function by providing expert advice on corporate governance matters across a wide range of subsidiaries. Your day-to-day responsibilities will involve collaborating with various teams to facilitate investments, monitor portfolios, assist in loan documentation processes, and manage critical corporate actions such as amendments to articles of association or board changes. You will be entrusted with overseeing contract management tasks including drafting NDAs and policy agreements while acting as Corporate Secretary to ensure regulatory compliance. Success in this role requires you to maintain clear communication with stakeholders, coordinate circular resolutions efficiently, and report performance outcomes accurately. By staying up-to-date with institutional policies and procedures, you will help drive the organisation’s legal strategy forward while contributing positively to its collaborative culture.
- Provide comprehensive legal advisory services to support corporate governance across the organisation’s subsidiaries and portfolio companies.
- Collaborate with investment teams to facilitate business investments, offering legal insights throughout the transaction process.
- Monitor portfolios by delivering transactional support and legal advice for ongoing business activities.
- Assist in obtaining loans from financial institutions by preparing and reviewing legal documentation required for successful financing.
- Manage amendments to articles of association, board changes, capital injections, and other corporate actions for subsidiaries.
- Oversee contract management processes including drafting, reviewing, negotiating, and maintaining legal documents such as NDAs and policy agreements.
- Assist corporate secretarial matters by ensuring compliance with regulatory requirements and facilitating effective communication between stakeholders.
- Coordinate circular resolutions and manage expectations regarding transactional deal works within the group.
- Stay informed about institutional policies and procedures to ensure all legal activities align with organisational standards.
What you bring:
Your proven experience as a Legal Analyst will be instrumental in supporting the organisation’s Institutional Legal function. Drawing upon your background in international law firms and previous in-house counsel roles, you will bring deep knowledge of transactional deals along with strong academic credentials. You will demonstrate meticulous attention to detail when handling contracts or regulatory compliance matters while showing adaptability in managing multiple priorities. - Demonstrated experience 3 to 5 years working in a prominent international law firm with exposure to significant transactional deals.
- Minimum 1 year serving as an in-house legal counsel within a reputable organisation or investment institution.
- Resilient, proactive, and hardworking, with a strong sense of ownership and a willingness to take on challenges.
- Strong academic background from a well-regarded university coupled with proven English language competency.
- Excellent communication skills enabling you to convey complex legal concepts clearly to both internal teams and external stakeholders.
- Ability to collaborate effectively within cross-functional teams including investment professionals and strategic operations staff.
- Meticulous attention to detail when managing contracts, legal documents, and regulatory compliance requirements.
- Proven track record in handling corporate secretarial and corporate governance matters such as amendments of articles of association or board changes.
- Familiarity with portfolio monitoring practices including transactional support for ongoing business activities.
- Capacity for managing multiple priorities simultaneously while maintaining dependability under tight deadlines.
