What you'll do:

As General Counsel, you will be responsible for overseeing all aspects of the company’s legal affairs. Your day-to-day activities will involve drafting complex commercial contracts, conducting due diligence on property acquisitions, coordinating with external consultants or notaries for key transactions, providing expert legal opinions across departments, maintaining critical land certificates, managing intellectual property rights registrations, collaborating with external lawyers on litigation matters, setting departmental objectives and budgets, monitoring regulatory compliance requirements from capital market authorities as well as Indonesian investment law, implementing corporate governance frameworks such as meetings of BoC/BoD/AC/AGM/EGM/ Public Expose events, preparing annual reports or financial disclosures for capital market authorities, acting as liaison between shareholders/investors/regulators/stakeholders through investor relations activities; monitoring updates on corporate licenses/policies including ethics/code of conduct/speak up/personal data protection initiatives. Success in this role requires meticulous attention to detail when reviewing agreements; proactive communication with internal teams/external partners; strategic thinking when resolving disputes; comprehensive understanding of local/international laws; ability to identify potential risks/develop mitigation strategies; advanced research skills for precedents/statutes/case law; basic financial acumen for advising on business transactions/financial agreements.

  • Draft, review, and negotiate all types of agreements including lease agreements for the Property Department, maintenance contracts, operating agreements, and marketing arrangements to ensure legal compliance and protect company interests.
  • Complete all Lease Agreements submitted to the Property Department by resolving any issues from a legal perspective and ensuring smooth execution of property-related transactions.
  • Check, complete, and provide legal documents or supporting materials related to agreements with business partners such as product suppliers and service vendors.
  • Conduct thorough due diligence on prospective sites and land acquisitions to assess risks and ensure proper documentation before finalising transactions.
  • Coordinate with external consultants or notaries for selection, instruction, and fee negotiation to facilitate seamless legal processes for various business undertakings.
  • Offer legal opinions to departments such as Operations regarding matters or issues related to business transactions.
  • Maintain and update the status of Company Land Certificates by proceeding with extensions of validity and resolving land title problems in coordination with Owned Asset Property department.
  • Organise maintenance, filing, and updating of agreement statuses to ensure accurate record-keeping and easy retrieval of important documents.
  • Collaborate with external independent lawyers for any litigation issues facing property or the company, ensuring effective resolution strategies are implemented.
  • Create objectives, work plans, and operational budgets for Legal departments while monitoring registration processes for Intellectual Property Rights management both domestically and internationally.

What you bring:

Your proven experience as General Counsel will include significant exposure to contract/agreement management within commercial/corporate settings. You will bring deep familiarity with corporate governance frameworks—spanning mergers/acquisitions/business structures/regulations—and demonstrate proficiency in drafting/reviewing/negotiate complex contracts that safeguard organisational interests. Your background includes successful oversight of litigation/dispute resolution efforts alongside external law firms; comprehensive knowledge of local/international laws governing data privacy/intellectual property/environmental standards; expertise in managing trademarks/copyrights/patents/trade secrets; keen ability to identify/address potential risks proactively; advanced research skills underpinning evidence-based advice; basic financial acumen facilitating effective guidance during business transactions. Your interpersonal skills enable collaboration across teams/stakeholders while your commitment ensures regulatory compliance/governance implementation at every level.

  • Bachelor’s degree in Law or Master’s graduate from law department demonstrating strong academic foundation in legal principles relevant to commercial/corporate sectors.
  • Minimum 18 years’ experience in legal roles focusing on agreement/contract management within both commercial/corporate environments.
  • Deep knowledge of corporate governance frameworks including mergers/acquisitions/business structures/regulations applicable locally/internationally.
  • Proven ability to draft/review/negotiate complex legal agreements such as commercial contracts/vendor agreements/employment contracts ensuring clarity/protection for company interests.
  • Experience overseeing legal disputes/litigation by working collaboratively with external law firms/managing strategy/assessing risk effectively.
  • Comprehensive understanding of local/international laws/regulations relevant to industry including data privacy/intellectual property/environmental law requirements.
  • Expertise in trademarks/copyrights/patents/trade secrets enabling protection of company assets through robust IP management practices.
  • Skill in identifying potential legal risks/developing strategies for mitigation while maintaining open communication channels across departments/stakeholders.
  • Advanced research abilities for analysing legal precedents/statutes/case law providing sound advice based on thorough investigation/evidence gathering.
