What you'll do:

As Vice President Legal International Expansion, you will be entrusted with steering the organisation’s most critical international growth initiatives from a legal perspective. Your day-to-day will involve partnering with ownership to shape strategy around mergers and acquisitions, leading due diligence efforts for high-value cross-border deals, and managing commercial transactions that span multiple regions. You’ll also take charge of operational legal matters such as corporate secretarial functions, ensuring that governance standards remain exemplary. Working in tandem with an experienced Legal Directors, you’ll balance hands-on project delivery with strategic oversight—reporting directly to senior leadership while keeping shareholders informed. Success in this role means bringing together your expertise in law firm environments and in-house settings to deliver results that drive global expansion.

• Provide comprehensive strategic legal advice to the owner and senior management on all aspects of international and local mergers and acquisitions, ensuring that every transaction aligns with business objectives.
• Lead due diligence processes for major cross-border transactions, meticulously assessing risks and opportunities to safeguard organisational interests.
• Oversee commercial transactions from inception through execution, ensuring compliance with relevant regulations across multiple jurisdictions.
• Act as the primary point of contact for operational legal matters, including corporate secretarial duties, maintaining robust governance standards throughout the organisation.
• Collaborate closely with the existing Head of Legal to ensure seamless handling of day-to-day operations while focusing on high-stakes projects.
• Report directly to the Directors and maintain dotted line communication with shareholders, ensuring transparency and alignment on key initiatives.
• Manage single contributor responsibilities by independently driving projects forward while leveraging internal resources as needed.
• Support ongoing major projects by providing expert legal input at every stage, from structuring deals to negotiating terms and finalising agreements.
• Maintain up-to-date knowledge of international law firm practices as well as in-house procedures to deliver best-in-class solutions for complex legal challenges.

Your background should reflect substantial experience handling mergers and acquisitions at scale—ideally gained through a blend of law firm practice and in-house roles within large organisations. You bring not only technical expertise but also an empathetic approach to stakeholder management, allowing you to build trust across cultures and levels of seniority. Fluency in Mandarin is an advantage for success given the nature of cross-border engagements; your language skills will help foster strong relationships with key partners. • Extensive experience in mergers and acquisitions within both law firm and in-house environments, ideally involving large-scale (More than USD 100mio) ticket sizes.
• Proven track record managing complex cross-border commercial transactions across diverse jurisdictions.
• Fluency in Mandarin is highly preferred; ability to communicate effectively in Chinese is essential for stakeholder engagement.
• Demonstrated ability to provide strategic legal advice at board or ownership level, influencing decision-making on major business initiatives.
• Deep understanding of operational legal requirements including corporate secretarial duties within multinational organisations.
• Exceptional interpersonal skills enabling effective collaboration with senior executives, shareholders, and internal teams.
• Strong analytical abilities for conducting thorough due diligence processes on international deals.
• Experience supporting major projects from initial structuring through negotiation and completion.
• Ability to work independently as a single contributor while integrating seamlessly into broader team efforts.
